Who we are

These Terms & Conditions ("Terms") govern (a) your use of sajaltech.com (the "Site"), operated by Sajal Tech Solutions Private Limited ("Sajal Tech", "we", "us", "our"), and (b) any software development, AI/automation, consulting, or related services ("Services") we provide to a client ("you", "Client") under a signed proposal, statement of work, or service agreement ("Engagement Documents"). By using the Site or engaging us for Services, you agree to these Terms.

Use of the website

The Site is provided for informational and lead-generation purposes only: it does not have user accounts, comments, or file uploads. You agree to use the Site lawfully and not to attempt to disrupt its operation, scrape it at scale, or misuse the contact form or scheduling tools embedded on it. All content on the Site (including text, graphics, logos, and case studies) is owned by Sajal Tech or its licensors and may not be reproduced without permission.

Engagements & scope of work

Services are only provided under a mutually agreed proposal, statement of work, or service agreement that sets out the scope, deliverables, timeline, and fees for that engagement. These Terms apply to every engagement in addition to, and alongside, the specific Engagement Documents. In case of conflict, the terms of the signed Engagement Document take precedence over these general Terms.

Fees & payment

Fees, invoicing schedule, and payment method for each engagement are set out in the applicable Engagement Document and agreed with the Client before work begins. Unless otherwise stated in that document, invoices are payable within the timeframe specified on the invoice. Late or non-payment may result in suspension of Services or deliverables until outstanding amounts are settled.

Intellectual property

Upon full and final payment for an engagement, ownership of the custom deliverables created specifically for the Client under that engagement (e.g. bespoke application code, designs, and documentation) transfers to the Client, except as otherwise agreed in writing.

Sajal Tech retains ownership of its pre-existing intellectual property, including internal tools, frameworks, libraries, templates, know-how, and any general-purpose or reusable components not built exclusively for the Client, and grants the Client a non-exclusive, royalty-free license to use such components solely as incorporated into their delivered project.

Confidentiality

Each party agrees to keep the other's confidential and proprietary information (including business plans, technical specifications, and non-public data shared during an engagement) confidential, and to use it only for the purposes of the engagement. This obligation survives the completion or termination of the engagement. Either party may request a mutual non-disclosure agreement (NDA) prior to sharing sensitive information.

Client responsibilities

The Client agrees to provide timely feedback, access, credentials, content, and any other information reasonably required for us to deliver the Services, and to review and approve deliverables within the timelines agreed in the Engagement Document. Delays caused by the Client in providing required inputs may extend project timelines accordingly.

Warranties & disclaimers

We warrant that Services will be performed with reasonable skill and care, consistent with industry standards. Except as expressly stated in an Engagement Document, Services and deliverables are provided "as is," and we do not warrant that they will be uninterrupted, error-free, or fit for a purpose not disclosed to us in writing before the engagement began.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data, arising out of or in connection with an engagement, even if advised of the possibility of such damages. Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

Cancellation & termination

Cancellation, termination, and any related refund terms for a given engagement are set out in the applicable Engagement Document and are agreed on a case-by-case basis with each Client before work begins, reflecting the specific scope, timeline, and payment structure of that project.

Third-party services

Our Site and workflows may use third-party services such as Web3Forms (contact form delivery), Calendly (call scheduling), and Vercel (hosting and analytics). Your use of those embedded tools is also subject to their respective terms and privacy policies.

Governing law & jurisdiction

These Terms, and any engagement entered into with Sajal Tech, are governed by the laws of India. Both parties submit to the exclusive jurisdiction of the competent courts located in Madhya Pradesh, India, for the resolution of any dispute arising out of or relating to these Terms or an engagement.

Changes to these terms

We may update these Terms from time to time to reflect changes to our Services or legal requirements. The "Last updated" date below reflects the most recent revision. Terms governing an active, signed engagement will not change retroactively without mutual written agreement.
